Sledgehammer70 has answered this with a yes. As long as you purchase both for pc you will get all the rewards from steam and the ultimate edition.
Yes, there are also some retailers that offer the upgrade. GreenManGaming still has a 20% off coupon for purchasing Defiance... this includes the upgrade which is $40 (-20%).

It's not all that bad either, thanks to the Steam tiers you'll get a good few things not in the UE too like the Phoenix Sniper Rifle, extra inventory slots, a couple of extra vehicles and a title. Plus you can play sooner, of course

This is true but money saved is money spent on cash shopbut whatever floats your boat.
And all retailers send out the codes fairly quickly (ones I used anyways, all digital), and you just activate em' right away.
