I bought the retail version, can I get the upgrade version from the store to get the bits from it? Or do I have to buy the digital instead first?

Secondly, if I DID have to buy the digital version, can I give the retail copy I am playing to a mate? Is there a way to transfer it?

No and no.

You have to buy the collector's edition, not just the deluxe. That's the only way to obtain the 1200 bits upon purchase. Otherwise, you need to buy the bits separately. It really shouldn't matter one way or another to you. All you're getting out of the collector's is the bits (15 dollar value) as well as a title and one extra outfit.

And 7 days worth of scrip/xp boost. and a tier 3 lockbox and + 5inventory. and a hellbug statue a great quality messenger bag thats worth 50bucks alone and the season pass. You shoulda went for the ultimate edition. It was well worth it. By the way the collectors ed. Didnt come with 1200bits, the 150$ ultimate edition did. So op is better off just buyin the bits at this point like you said. Im talkin physical copies though, not sure what the delux digital came with if thats what your talking about. But its not the collectors edition either way.

Honestly other than the inventory slots purchasing any version above the standard is a waste of money. Bits are pretty much a waste and nothing you get in those packages is worth getting because you'll get the same items in game within the first couple days of play.
